The Registration Statement submitted herewith relates to the issuance of the Company’s Class A Ordinary Shares, par value US$0.0000001 per share, to be represented by American depositary shares (“ADSs”) in connection with a proposed business combination (the “Business Combination”) by and among the Company, Bitdeer Technologies Holding Company, Blue Safari Group Acquisition Corp. (a special purpose acquisition company, “BSGA”), and other parties thereto. This document also constitutes a draft notice of meeting and a proxy statement under Section 14(a) of the Securities and Exchange Act of 1934, as amended, with respect to the extraordinary general meeting of BSGA shareholders at which BSGA shareholders will be asked to consider and vote upon proposals to approve the Business Combination and other related matters.
The Company confirms that it is an “emerging growth company” as defined in Section 2(a)(19) of the Securities Act. A registration statement on Form F-6 relating to the ADSs will be filed with the Commission in due course.
